CSG acquires Systems Team

4th January 2005 – Systems Team is pleased to announce that the company has entered into a definitive agreement under which Computer Software Group plc (“CSG”) acquires Systems Team to form the largest single force in the UK Not-for-Profit market.

Systems Team, founded in 1982, is a Bristol - based software house specialising in CRM systems for Professional Bodies, Institutes, Learned Societies, Royal Medical Colleges and other membership organisations. System Team’s customer base includes AAT, British Computer Society, RNLI, and many other leading organisations.

The CSG Board firmly believes that the acquisition will benefit Computer Software Group by increasing projected revenues - in addition to creating a stronger Not-for-Profit vertical focus and broadening its client base.

Vin Murria, CEO of Computer Software Group plc commented:

“With more than 120 combined customers, this acquisition allows us to gain the leadership position in the Not-for-Profit market. Our solution portfolio has been extended with document imaging and enhanced with comprehensive contact management and CRM capabilities for membership and charities. It is our aim that CSG’s solutions drive down customers’ costs and increase productivity – providing a faster and greater return on investment to our customers.”

Geoff Iles, Managing Director, Systems Team added:

“Our integrated marketing, sales and product development expertise and resources will enable greater market focus and further products advancement within the sector. We believe joining CSG will benefit both existing and future customers and together we will set new standards for the industry.“

Systems Team’s location also widens geographical spread for the combined customer base. Access to offices in both London and Bristol is seen as a great advantage. This coupled with CSG offices across the country from Devon to Yorkshire provides unrivalled coverage and opportunity.

The CSG group has seen significant growth during the last 2 years, both organically and through acquisitions - Wizz400 in January 2003, Chorus financial and distribution software in May 2003, Springstone Software Services in January 2004, JBS ERP solutions and ‘on demand’ services in March 2004 as well as Pinnacle and Advatech, two key Field Service management players, in September 2004.

The Group’s 2004 results showed sustained improvements in the underlying trading performance of the core business and a pleasing contribution from acquisitions.
